universal shelf registration statement with the Securities and Exchange
Commission. The shelf registration statement, which was effective upon
filing, provides the Company future flexibility to offer, from time to
time, and in one or more offerings, debt securities, common stock,
preferred stock, depositary shares, warrants or any combination thereof.
